Terms of sale

Short, and in the order they come up. Sending an order means you accept them.

Who buys

Businesses, for resale or professional use. Research use only.

What binds

The proforma invoice, not the order form.

Minimums

$300 an order, $100 on a first order, whole boxes.

Claims

Five business days from delivery, with photographs.

1. The buyer

Accounts are held by a business, or by a person trading before registration, for resale or for use in a professional setting. Whoever opens the account is confirming they can commit that business to these terms.

2. The goods

Every item is a research chemical for laboratory use in vitro. None of it is a medicine, a supplement, a food or a cosmetic, none of it is made under GMP, and none of it is for human or animal consumption. How you describe the goods to your own customers is your responsibility, and so is knowing what your own jurisdiction lets you import, hold and sell.

3. Orders and prices

Your order is an offer. The contract exists once we issue a proforma invoice against it. We can decline all or part of an order, and we say why.

Prices are per sealed box of ten vials, in US dollars, freight included, taxes and duties not included. The price on your proforma is the one that holds even if the list moves, and a written quote holds to the date on it. A plainly mistaken price does not bind us; we contact you before anything is done about it.

Minimum $300 of goods per order, $100 on your first, one sealed box the least of any line. Boxes stay sealed.

4. Payment

Goods are released against cleared payment of the proforma, in Bitcoin, or USDT on Tron or Ethereum, unless credit terms have been granted to your account in writing. Sender pays any transfer cost. On credit accounts, an invoice unpaid after its due date can carry interest at 1.5 percent a month and supply can be paused. Title passes when payment has cleared in full; risk passes at the delivery point on the invoice, DAP, delivered in the United States.

5. Cancelling

Ask from the order page at any time before the boxes are picked, and the desk confirms. Once boxes have been picked and sealed for you, cancelling means returning, and clause 6 applies. If we cannot fulfil an order we cancel it and repay in full by the same route the money came.

6. Short, damaged, wrong

Inspect the carton and the vials when they arrive. A shortage, transit damage or a wrong item is reported within five business days of delivery, with photographs of the outer carton and the vials, and we handle the freight claim. Sealed boxes cannot come back once they have left our custody: we cannot certify storage we did not control. A batch that turns out to be out of specification is a separate matter and is handled under quality: the retained sample is tested, and a failed batch is withdrawn and your order replaced or credited.

7. Liability

Our liability on an order is capped at the value of that order. Loss of profit, loss of business and indirect or consequential loss are excluded. Nothing here limits liability that cannot lawfully be limited.

8. General

These terms are governed by the law of the State of New York. If a clause is found unenforceable the rest stands. We may update these terms; the version on this page when your proforma is issued is the one that applies to that order.
